Partner Programme Terms & Conditions

Firstly, Just X-Cart Australia Pty Ltd would like to welcome your aboard our Partner programme. Our objective in offering the reseller programme is win-win-win.

You win - because you get a superior service you can refer clients to where you know they are looked after in a professional manner, whilst you earn ongoing commission and continue to work with your clients like you always have.

Client win - they get superior hosting service and support, secure in the knowledge that they can focus on running their online business in a safe, stable and supported environment.

We win - ability to reach more businesses and show to them how powerful X-Cart can be, and how beneficial it can be to their business if hosted in the correct server environment coupled with an exceptional level of support, whilst rewarding those whom brought the clients to us in the first place - our resellers.

In order to have our reseller programme run smoothly, and have all parties aware of their responsibilities and obligations, we require you to read, understand and accept our Terms & Conditions prior to registering your interest as a reseller.

(1) PRICES

Only quote your clients the same pricing/plans that we have on our website (if they need something extra/different, please contact us prior to providing a quotation)

(2) RESELLER REPRESENTATION

Given we will invoice your clients directly you must tell them exactly who we are (as they will wonder who the invoice if from etc), and that you are a reseller of our company.

If you are or become a participant in our Partner Programme you must ensure that you continue to comply with all terms and conditions.
Do not make any promises or guarantees that bind Just X-Cart Australia Pty Ltd. You agree that in your capacity as programme partner you will not incur any liability on our part or in any way pledge or purport to pledge our credit or purport to make any contract binding on us.
Do not misrepresentation your association with Just X-Cart Australia Pty Ltd. State clearly to your client that your business/company and ours (Just X-Cart Australia Pty Ltd) are completely independent, and that our business relationship is based on your being our reseller, and us being a provider to your clients for hosting and related services.
We do not accept the liability or default of your own customers as affecting or limiting your obligations under this agreement and we suggest that you require your customers to sign a form of this agreement.
You are responsible for ensuring that any promotional, advertising or other material you distribute to your customers (whether in paper form or electronically):

a. is from our Partner Area only. You are only authorised to utilise text and graphical banners as made available to you in your Partner Area. You may not alter, modify, deface or change in any way these banner. We welcome your contacting us to discuss alternate text/banners however you must not proceed with such advertisement until you receive formal permission from us in writing. Provision of such permission is at our sole discretion, determined on a case-by-case basis;
b. is in strict compliance with all applicable advertising standards and spam laws as applicable to Australia;
c. does not contravene any law of the relevant jurisdiction;

d: is appropriate in all the circumstances;
e. and that you otherwise comply with all laws and regulations governing the exercise of your right as reseller under this agreement.

Just X-Cart Australia Pty Ltd reserve the right to demand cessation of distribution regarding of any and all advertising, promotional and/or other material which in our view is unacceptable. This includes and is not limited to removal of all text and/or banner advertisements you have distributed to website locations across the internet.

You agree to indemnify, keep indemnified and hold us harmless from and against any claim brought against us by a third party resulting from the provision of our Services by you to your customers, and in respect of all losses, costs, actions, proceedings, claims, damages, expenses (including reasonable legal costs and expenses) or liabilities whatsoever suffered and howsoever incurred by us as a consequence of your breach or non-observance of the Reseller Terms and Conditions.

(3) OUR GUARANTEE

We will always uphold your reputation in front of clients, and always refer them back to you where applicable. We will not ‘prospect’ nor ‘directly market’ to your clients, except with regards to hosting-orientated campaigns (hosting, domains, SSL, etc) from which they may benefit.

As a reseller, we will always endeavour to attend to your requirements as a matter of urgency with regards to quoting, hosting account setup etc - this enables all of us to look professional at all times in front of your clients.

Regardless of the relationship you do or do not continue to foster with your client, you will continue to be paid on a quarterly basis for the lifetime of the client.

(4) PROGRAMME INCLUSIONS/EXCLUSIONS

Products and services eligible for commissions are clearly identified on our Partner Programme information page at: http://www.justxcart.com.au/x-cart-affiliates-resellers.html.

Just X-Cart Australia Pty Ltd reserves the right at any time to modify, add, or delete eligible products and services including changing commission dollars values and percentages owing on these eligible items.

All partner programme participants cannot include their own hosting account as part of this programme. For example you cannot sign-up for this programme to simply to then have the Silver or Gold rebate applied to it. Should it be discovered that a programme partner has acted in this manner, Just X-Cart Australia Pty Ltd reserve the right to immediately cancel that partners participation in our partner programme including forfeiting their rights to any commission earned for that month.

(5) CALCULATION OF COMMISSIONS DUE

End-of-month assessment and calculation of commissions due to each programme partner are based on:

STREAM 1 AND 2
Only orders that are displaying an order status of ‘processed’ as this indicates we have received full payment for that order
STREAM 3
Calculated on fully paid invoices, not invoices issues but still awaiting payment.
Commissions will not be paid until we have received from you an invoice for the full amount we calculated as due. The invoice must also contain the breakdown of stream 1, 2 and 3 commissions.

(6) PRODUCT RETURN/REFUNDS

In the rare event that Just X-Cart Australia Pty Ltd decide to refund an order, or part of an order, any commission that was payable to you for that order must be revoked. In such circumstances you would be contacted and provided a full explanation as to why a refund was being provided, and as such would receive an invoice from us for the amount of commission due back.

(7) RIGHT OF REFUSAL/ACCEPTANCE

Should a client elect, through no cohesion from us, ask us for a quote, or want us to perform work for them, Just X-Cart Australia Pty Ltd reserve the right to accept or refuse such business activities, without the need to obtain permission or authority from you regardless of you initial referred them.

In such instances where we do take up work requests from clients you have referred, it will in on way affect any on-going hosting residual income you receive, nor will it impair your ability in any way to still liaise with them with the prospect of having them go through your promotional links and thus earn you more commissions.

(8) EARNINGS CAPACITY/OPPORTUNITY

Your ability to earn commissions from our programme is purely dependant on your own abilities and the efforts, time, energy and resources you directly contribute into being successful. We do make available a range of tools to assist you including the Partner Area, text/graphical banners and monthly reporting and accounting summaries however you agree Just X-Cart Australia Pty Ltd do not guarantee your earnings potential, only that you will be paid as above-described when commissions are due.

(9) UPDATES/AMENDMENTS

Just X-Cart Australia Pty Ltd reserve the right to change these terms and conditions as required. We advise you regularly check this page for any such changes.
